PARTNERSHIP EXTENSION PAYMENT VOUCHER OFFICE OF STATE TAX COMMISSIONER SFN 28732 (12-2023) Purpose If a partnership is applying for an extension of time to file the 2023 Form 58, it may prepay the tax that is expected to be due on it to avoid paying extension interest. The payment must be made no later than the 15th day of the 4th month following the end of the tax year. Important: Do not use this extension payment voucher if: How to make payment If paying by check or money order, make it payable to “ND State Tax Commissioner,” and write last four digits of federal employer identification number (FEIN) and “2023 58-EXT” on it. Complete the payment voucher below, detach it from this page, and mail it with the check or money order to: Office of State Tax Commissioner 600 E. Boulevard Ave., Dept. 127 Bismarck, ND 58505-0599 • The 2023 Form 58 is filed on or before the due date (without extension). • Any tax due on the 2023 Form 58 is going to be paid after the due date (without extension). • The payment will be made electronically—see “How to make payment” for payment options. If the 2023 Form 58 is filed after its due date (without extension), any tax paid with the return is subject to extension interest. Form 58 EXT is a North Dakota Corporate Income Tax form. The IRS and most states will grant an automatic 6-month extension of time to file income tax and other types of tax returns, which can be obtained by filing the proper extension request form. Obtaining an extension will prevent you from being subject to often very large failure-to-file penalties. However, in most cases this extension does not exempt you from the requirement to pay any tax owed in full by the return's original filing date.

About the Corporate Income Tax

The IRS and most states require corporations to file an income tax return, with the exact filing requirements depending on the type of company.

Sole proprietorships or disregarded entities like LLCs are filed on Schedule C (or the state equivalent) of the owner's personal income tax return, flow-through entities like S Corporations or Partnerships are generally required to file an informational return equivilent to the IRS Form 1120S or Form 1065, and full corporations must file the equivalent of federal Form 1120 (and, unlike flow-through corporations, are often subject to a corporate tax liability).
