ADDITIONAL INFORMATION The filing or granting of an extension of time to file does not extend the time for payment of tax due on the return. GENERAL INSTRUCTIONS Use Form RI-4868C to apply for 6 more months to file Form RI-1040C, Rhode Island Composite Tax Return. EXTENSION OF TIME The Rhode Island extension form need not be filed if you are not required to make payment with Rhode Island extension form. If you must file a Rhode Island request for extension, you should: 1. Prepare the Rhode Island Extension Form RI-4868C. 2. Clearly show the full amount properly estimated as Rhode Island tax for the year 2023. 3. File the extension with the Rhode Island Division of Taxation on or before the due date for filing the Rhode Island Composite Tax Return. The extension must be filed by the 15th day of the third month following the close of the entity’s taxable year (March 15, 2024 for a calendar year entity). 4. Pay the amount of Rhode Island tax due as calculated on Form RI-4868C by the 15th day of the third month following the close of the entity’s taxable year (March 15, 2024 for a calendar year entity). 5. Be sure to attach a copy of Form RI-4868C to your Rhode Island return when it is filed. 6. Detach and return the top portion with your payment. Date Paid Payment Reference # Amount How to File Your Return and Submit Payment The Rhode Island Division of Taxation has an electronic mandate that requires Larger Business Registrants use electronic means to file returns and remit taxes beginning on January 1, 2023. A "larger business registrant" is defined as any person who: 1) Operates as a business whose combined annual liability for all taxes administered by the Division of Taxation for the entity is or exceeds $5,000; or 2) Operated as a business whose annual gross income is over $100,000 for the entity. If you meet either of the above criteria you are required to file returns and remit taxes electronically. Visit the RI Division of Taxation’s website for additional information. Form RI-4868C is a Rhode Island Corporate Income Tax form. The IRS and most states will grant an automatic 6-month extension of time to file income tax and other types of tax returns, which can be obtained by filing the proper extension request form. Obtaining an extension will prevent you from being subject to often very large failure-to-file penalties. However, in most cases this extension does not exempt you from the requirement to pay any tax owed in full by the return's original filing date.

About the Corporate Income Tax

The IRS and most states require corporations to file an income tax return, with the exact filing requirements depending on the type of company.

Sole proprietorships or disregarded entities like LLCs are filed on Schedule C (or the state equivalent) of the owner's personal income tax return, flow-through entities like S Corporations or Partnerships are generally required to file an informational return equivilent to the IRS Form 1120S or Form 1065, and full corporations must file the equivalent of federal Form 1120 (and, unlike flow-through corporations, are often subject to a corporate tax liability).
